1. Who we are and what these terms cover

This website (heedly.co) is operated by Matt Madden Photography Ltd, trading as Heedly, a limited company registered in England and Wales ("we", "us", "our"). You can contact us at matt@heedly.co.

These terms and conditions govern your use of this website and the free content we make available through it (such as the Vet Marketing Playbook). They do not govern the marketing services we provide to clients — those are covered by a separate written agreement or proposal issued for each engagement (see section 8).

2. Accepting these terms

By using this website you confirm that you accept these terms and agree to comply with them. If you do not agree to them, you must not use this website. We recommend that you save or print a copy of these terms for future reference.

3. Changes to these terms and to the website

We may amend these terms from time to time; the date at the top shows when they were last updated. Every time you wish to use this website, please check these terms to ensure you understand the terms that apply at that time. We may also update, change or withdraw parts of this website without notice, including to reflect changes to our services or business priorities.

4. Availability of the website

This website is made available free of charge. We do not guarantee that it, or any content on it, will always be available, uninterrupted or error-free. We may suspend, withdraw or restrict the availability of all or any part of the website for business or operational reasons.

5. Acceptable use

You may use this website only for lawful purposes. You must not:

  • use it in any way that breaches any applicable local, national or international law or regulation;
  • knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or attempt to gain unauthorised access to the website, its server or any connected database;
  • use automated systems to scrape, harvest or extract data from the website without our prior written consent;
  • misuse contact details published on the website to send unsolicited marketing; or
  • reproduce, duplicate, copy or re-sell any part of the website in contravention of these terms.

A breach of this section may constitute a criminal offence under applicable computer misuse legislation. We may report any such breach to the relevant law enforcement authorities and cooperate with them, and your right to use this website will cease immediately.

6. Intellectual property

We are the owner or the licensee of all intellectual property rights in this website and in the material published on it, including text, graphics, logos, photography and the Vet Marketing Playbook. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may view, download and print pages or the playbook for your own internal business use. You must not modify the materials, use any illustrations or photographs separately from their accompanying text, or remove any acknowledgement of us as author. You must not use any part of the content for commercial purposes (for example, republishing it as your own) without a licence from us. Client logos, photography and case-study material shown on this website remain the property of the respective clients and are used with their permission.

7. Free content, case studies and results

The content of this website — including the playbook, case studies and statistics — is provided for general information only. It reflects real results achieved for specific clients in specific circumstances and is not a promise or guarantee that your practice will achieve the same or similar results. Nothing on this website constitutes professional, financial or legal advice, and you should not rely on it as a substitute for advice tailored to your circumstances.

8. Our services

Descriptions of our services on this website are an invitation to get in touch, not a contractual offer. Any engagement for marketing services (website builds, Google Ads management, branding, photography, strategy or otherwise) will be subject to a separate written proposal or agreement setting out the scope, fees and terms of that engagement. In the event of any conflict between these website terms and a signed services agreement, the services agreement prevails for that engagement. Requesting early access to website builds or requesting the playbook does not create any obligation on you or on us.

9. Links to and from other websites

Where this website contains links to other sites and resources provided by third parties (including our social media profiles), those links are provided for your information only. We have no control over the contents of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. You may link to our home page provided you do so in a way that is fair and legal, does not damage or take advantage of our reputation, and does not suggest any form of association, approval or endorsement where none exists. We reserve the right to withdraw linking permission without notice.

10. Disclaimer and limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury arising from our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law. Nothing in these terms affects any statutory rights you may have as a consumer that cannot be waived or limited by contract.

Subject to the paragraph above: we exclude all implied conditions, warranties, representations or other terms that may apply to this website or any content on it; and we will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising under or in connection with your use of (or inability to use) this website or your use of or reliance on any content displayed on it. If you are a business user, we will in particular not be liable for loss of profits, sales, business or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss.

We do not guarantee that this website will be secure or free from bugs or viruses. You are responsible for configuring your own technology to access it and should use your own virus protection software.

We only use your personal information as set out in our Privacy Policy, and we use cookies as set out in our Cookie Policy.

If any provision of these terms is found by a court to be invalid or unenforceable, the remaining provisions will continue in full force and effect. If we do not insist that you perform any of your obligations under these terms, or if we do not enforce our rights against you or delay in doing so, that will not mean we have waived those rights. We may transfer our rights and obligations under these terms to another organisation; this will not affect your rights under these terms.

13. Governing law and jurisdiction

These terms, their subject matter and their formation are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction over any dispute arising from them. If you are a consumer resident in the European Union, you additionally benefit from any mandatory provisions of the law of the country in which you are resident, and nothing in these terms affects your rights to rely on those provisions or to bring proceedings in your country of residence.
